Terms of Service

1. Acceptance
By using codingthebrains.com or engaging Coding The Brains LLC for services, you agree to these terms. If you do not agree, do not use the site or engage us.
2. Services
We deliver engineering services under written engagement (Rapid Launch, Production Launch, Enterprise Build, Voice add-on, retainers). Each engagement is governed by a signed Statement of Work that specifies scope, timeline, and price.
3. Pricing & payment
- Rapid Launch: 50% kickoff, 50% delivery.
- Production Launch: 50% kickoff, 50% Day 5.
- Enterprise Build: 40% kickoff, 30% Day 7, 30% Day 14.
- All amounts in USD. Payment due within 7 days of invoice.
- Late payments accrue 1.5%/month after 30 days past due.
4. Refund policy (Rapid Launch)
For Rapid Launch only: if we fail to deliver the agreed scope within 48 hours of kickoff, you receive a 100% refund of fees paid for that engagement. This guarantee applies only when the pre-kickoff checklist is complete on your side. It does not apply if delivery is blocked by missing credentials, unavailable stakeholders, or scope changes initiated by you.
5. Scope changes
Any scope change is a paid change order, agreed in writing before work continues. We do not absorb scope creep.
6. Ownership
On full payment, all deliverables (codebase, documentation, configuration) become yours. We retain no ongoing rights to the delivered work. We retain rights to underlying tools, libraries, and patterns we developed before or during the engagement.
7. Confidentiality
We treat your data, business processes, and codebase as confidential. We do not reference clients publicly without written permission.
8. Warranty & liability
Bug-fix support is included for the period stated in your engagement (Rapid Launch: 7 days; Production Launch: 14 days; Enterprise Build: 30 days). Beyond that, ongoing maintenance is offered via retainer. We are not liable for downstream consequences of system use beyond the fees paid for the engagement.
9. Out-of-scope work
We do not engage with law firms or law-adjacent work. We do not take on clients in highly regulated clinical healthcare settings without infrastructure already in place. We do not offer fixed-bid multi-year contracts.
10. Governing law
These terms are governed by the laws of the State of Delaware, USA. Disputes resolved in state or federal courts in Delaware.
